Terms and Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Site and your engagement with our services.

1. Acceptance of Terms

By accessing or using the Site or engaging our services, you agree to be bound by these Terms and any additional terms referenced herein or otherwise provided in writing.

2. Services

We offer services including AI readiness and automation, process flow redesign, advanced automation engineering, marketing and digital presence, and related consulting (as listed on the Site). Your specific service engagement will be governed by a separate service agreement or statement of work ("SOW") which will reference these Terms.

3. Accounts & Access

If you book a session or sign up for services, you may need to provide accurate and complete information. You are responsible for maintaining the confidentiality of login credentials for any "Customer Area".

4. Fees & Payment

Fees, payment terms, milestones and currencies will be detailed in the SOW or invoice. Payment is due as specified and may include deposits, retainers, or full payment before work commences. Late payments may incur interest or suspension of services.

5. Service Delivery & Client Responsibilities

We will carry out services with reasonable skill and care in a timely manner. You are responsible for providing timely feedback, materials, access to information/systems, and cooperating with us. Delays by you may delay results.

6. Intellectual Property

• We retain ownership of all previously developed intellectual property, tools, templates, and methodologies used across clients.
• Upon full payment for the services, any deliverables produced specifically for you (excluding underlying pre-existing tools) will be transferred to you, subject to any licence terms.
• You grant us a non-exclusive, royalty-free licence to use anonymised versions of your deliverables for our marketing and portfolio, unless you request otherwise in writing.

7. Confidentiality

Both parties will keep confidential any non-public business information disclosed in connection with the services. This obligation survives termination of the engagement for a specified period as agreed in the SOW.

8. Warranty & Disclaimer

We warrant that services will be performed using reasonable care and skill. Except as expressly stated, all other warranties, whether express or implied, are excluded. We do not guarantee specific business results, revenue growth or success outcomes.

9. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising out of the engagement or use of the Site/services is limited to the total amount of fees paid by you in the prior 12 months. We are not liable for any indirect, special, punitive or consequential losses.

10. Termination

Either party may terminate the engagement as specified in the SOW. If you cancel the services before deliverables are complete, you remain responsible for fees for services performed up to termination plus any non-recoverable costs.

11. Governing Law & Jurisdiction

These Terms, and any service agreement, will be governed by the applicable laws agreed in the SOW, and both parties submit to the exclusive jurisdiction of the courts specified there.

12. Changes to Terms

We may revise these Terms at any time by posting the revised version on the Site. Your continued use after the effective date indicates acceptance of the updated Terms.

13. Entire Agreement

These Terms (plus any SOW) constitute the entire agreement between you and us regarding the services, superseding any prior discussions or communications.
